Terms and Conditions of Sale and Services

Promega Benelux BV

Effective Date: 1 January 2025

These Terms and Conditions govern all sales and services provided by Promega Benelux BV. They are based on the "FHI General Conditions of Delivery 2020" issued by FHI, Federation of Technology Branches.

1. Product Availability

1.1. All products are subject to availability.
1.2. Availability and pricing are listed on our website: www.promega.com/catalog.
1.3. For items marked as "Pls.Enq." or unavailable products, please contact Customer Service at benelux@promega.com or call +31 715 324 244.


2. Pricing and Payment Terms

2.1. All prices are listed in Euros (€) and are exclusive of VAT.
2.2. Prices are subject to change without prior notice. Updated pricing is available on the Promega Benelux website and applies at the time of order confirmation.
2.3. Payment is due within 30 days of the invoice date.
2.4. Late payments may incur interest charges as permitted by applicable law.


3. Shipping and Delivery

3.1. Standard Shipping:

  • Deliveries follow CPT Incoterms 2020. Promega Benelux arranges transportation, but the risk of loss or damage passes to the buyer upon delivery to the first carrier.
  • Products in stock are typically delivered within two (2) working days.

3.2. Dry Ice Shipments:

  • Orders requiring dry ice received on Thursday or Friday will ship the following Monday to preserve product integrity.

3.3. Guaranteed Delivery:

  • Next-day delivery before 12:00 PM is available for an additional fee of €50.

4. Additional Charges

4.1. A handling fee of €45 applies to all orders.
4.2. Additional charges may apply based on product type:

  • GMO Products and Cell Lines: €92 per order for shipments compliant with UN 3245 (ADR transport guidelines).
  • Instruments: €94.50 per instrument due to special freight requirements.

5. Returns and Refunds

5.1. Due to the specialized handling requirements of our products, returns are generally not accepted. This policy ensures the quality and performance of our products.
5.2. Exceptions for returns are made only in cases of defective or incorrect deliveries.
5.3. Return Authorization: Contact Promega Benelux to secure a return authorization within seven (7) days of delivery for eligible returns. Unauthorized returns will not be accepted.


6. Governing Terms

6.1. These Terms and Conditions are governed by and construed in accordance with the laws of The Netherlands.
6.2. Any disputes arising from these terms shall fall under the exclusive jurisdiction of the courts of The Netherlands.
6.3. Promega Benelux is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, or transportation strikes (Force Majeure).


7. Promotions and Campaigns

7.1. Promotional offers are governed by separate terms and conditions, which are communicated at the time of the offer.


8. Website Terms

8.1. By using any Promega Corporation website or affiliated platforms, you agree to the Website Terms of Use.
8.2. Product availability, pricing, and other information provided online are subject to updates and may differ from printed materials.
